These Official Rules govern the 12 Days of Giveaways Contest  (“Official Rules”).

1. Sponsorship.

The 12 Days of Giveaways Contest  (the “Contest”) is sponsored by EUREKA ENTERTAINMENT, LLC D/B/A UNIVERSAL GAMING GROUP (“UGG” or “Sponsor”). UGG’s principal place of business is located at 240 W. Laura Drive, Addison, Illinois 60101. The Contest is offered by Sponsor in conjunction with one hundred and eleven (111) Participating UGG Locations (as defined below).

2. Contest Procedure.

Beginning on December 1, 2023, during the Entry Period (as herein defined), Participants may enter the Contest through a Digital Data Form Entry. The entry method is detailed below; each person who enters the Contest via a Digital Data Form Entry is referred to herein as a “Participant.” Each Digital Data Form Entry must include the Participant’s: (a) first and last name, (b) primary telephone number, (c) mailing address address, city, state, and zip, (d) an acknowledgement of not being an employee and (e) an acknowledgement of being at or above the age of twenty-one (21) (subparts (a) through (e) are herein referred to as the “Required Participant Information”). A Participant may also include an email address on their Digital Data Entry form. The Required Participant Information must be accurate and current as of the date of the entry. A Participant is permitted one (1) entry per day per Participating UGG Location (as defined below). In the event that a Participant fails to comply with any of the requirements contained in this Section or that are otherwise provided for in these Official Rules, at the sole determination of the Sponsor, such Participant may be disqualified from the Contest. Moreover, at the sole determination of the Sponsor, all of that Participant’s entries may be deemed null and void, not honored or acknowledged, and may be grounds for forfeiture of the Participant’s Prize (as defined below), if any.

DIGITAL DATA FORM ENTRY: Participants may enter the Contest by (1) visiting any one of the 111 Participating UGG Locations, (2) using a compatible mobile phone or tablet to scan a QR code on display at the Participating UGG Location, (3) accessing an online Digital Data Entry Form through the QR code, and (4) completing the Digital Data Form Entry with the Required Participant Information. An eligible person (as defined below) completing and submitting a Digital Data Form Entry with all Required Participant Information will be entered into the Contest (each such entry is an “Entry” herein). Digital Data Form Entries will be accepted between 12:01 a.m. Central Standard Time on December 1, 2023 and 11:59 p.m. Central Standard Time on December 24, 2023 (the “Entry Period”). The Entry Period at each Participating UGG Location is limited to the hours when that Location is open and operating.

PARTICIPATING UGG LOCATIONS: A list of the 111 Participating UGG Locations, at which Participants can enter the Contest, is attached as “Appendix A” to these Official Rules and also may be found on UGG’s website, at uggplay.com/12days2023.

3. NO PURCHASE IS NECESSARY TO ENTER OR WIN THE CONTEST. FURTHER, A PURCHASE (INCLUDING, WITHOUT LIMITATION, A PURCHASE OF ANY PRODUCT, GOOD OR SERVICE SOLD BY THE SPONSOR OR A PARTICIPATING UGG LOCATION) WILL NOT IMPROVE A PARTICIPANT’S CHANCES OF WINNING. VOID WHERE PROHIBITED.

4. Drawings and Odds of Winning.

Twelve (12) drawings will occur throughout the Contest. The drawings will occur at UGG’s marketing office at 10:00 am on each day from December 14, 2023 (12/14/23) through December 25, 2023 (12/25/23) inclusive (the “Drawing Dates”). One Entry will be selected at random on each Drawing Date. An employee of the UGG marketing team will conduct each drawing. The specific Prizes (as defined below) relating to each drawing date are outlined below. Each drawing will be made from a pool of all eligible Entries received at UGG’s marketing office through the time of the drawing, except that any Participant whose Entry has been selected in a drawing will be ineligible to be selected in all subsequent drawings.

The odds of being selected as a winner in each drawing are dependent on the number of eligible Entries received by UGG during the Entry Period prior to each Drawing Date. Sponsor conducted a similar promotion in December 2020, and received approximately 2,363 valid Entries during the entry period for that contest.

Each Participant whose Entry has been selected will be contacted within five (5) business days of having been selected by email or telephone and will be told that his or her Entry has been selected. Each such selected Participant will be required to present valid identification to the Sponsor within seven (7) days of being notified that he or she has been selected, the nature and sufficiency of the identification being solely within the discretion of the Sponsor.

5. Prizes, Prize Values, Odds of Winning and Collecting Prizes.

By entering this Contest in accordance with these Official Rules, Participants are eligible to receive one of twelve (12) prizes, as listed below (individually, each is a “Prize”; together one or more are “Prizes”). It is the Participant’s responsibility to read and understand all information, if any, which accompanies any Prize concerning use, risks, and maintenance. Prizes are non-transferable and cannot be exchanged for cash or other goods or services. All taxes on each Prize, if any, are the recipient’s responsibility. The Sponsor reserves the right at its sole discretion to substitute for a Prize an item of equivalent or greater value if the Prize specified is unavailable or unusable for any reason.

The Prizes are as follows:

On December 14, 2023, one (1) Participant’s Entry will be selected to receive a Ninja CFP301 DualBrew Pro Specialty 12-Cup Drip Maker, Veken Coffee Canister, VOBAGA Coffee Mug Warmer, and a coffee machine mat, with an estimated combined retail value of three hundred dollars ($300.00). On December 15, 2023, one (1) Participant’s Entry will be selected to receive PutterBall Golf Pong Game Set and KingCamp Folding Camping Chair, with an estimated retail value of four hundred and fifty dollars ($450.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 16, 2023, one (1) Participant’s Entry will be selected to receive a Yeti Roadie 48 WHEELED COOLER with essential accessories, with an estimated retail value of seven hundred dollars ($700.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 17, 2023, one (1) Participant’s Entry will be selected to receive a PowerSmart Snow Blower 24 Inch 2-Stage 212cc Engine Gas Powered with Electric Start PS24 , with an estimated retail value of seven hundred dollars ($700.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 18, 2023, one (1) Participant’s Entry will be selected to receive a $350 Netflix Gift Card, $200 Paramount+ Gift Card, $200 Disney+ Gift Card, with an estimated retail value of seven hundred and fifty dollars ($750.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 19, 2023, one (1) Participant’s Entry will be selected to receive a Solo Stove Yukon and Surround Accessory, with an estimated retail value of eight hundred and fifty dollars ($850.00). On December 21, 2023, one (1) Participant’s Entry will be selected to receive an $500 Cabela’s Gift Card and $500 Bass Pro Shop Gift Card, with an estimated retail value of one thousand dollars ($1,000.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 22, 2023, one (1) Participant’s Entry will be selected to receive an Apple Airpods Max and Apple Watch specifically a GPS 45mm Apple Watch Series 9, with an estimated retail value of one thousand, sixty dollars ($1,060.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 23, 2023, one (1) Participant’s Entry will be selected to receive an DEWALT DCK1020D2 20V Combo Kit with DEWALT DWA2FTS100 Screwdriving and Drilling Set, 100 Piece, with an estimated retail value of one thousand, one hundred dollars ($1,100.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 24, 2023, one (1) Participant’s Entry will be selected to receive an 256GB 11-inch Ipad Pro with Keyboard, with an estimated retail value of one thousand three hundred dollars ($1,300.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

On December 25, 2023, one (1) Participant’s Entry will be selected to receive a Phillips Hue Smart Light Bundle, specifically a Bridge, Four 100W smart bulbs, 95W Power supply, Festavia String Lights, Three Lily Outdoor Spot Lights, Three Play Light Bars, and One Table Lamp, with an estimated retail value of one thousand, four hundred dollars ($1,400.00). The odds of receiving this Prize are dependent on the number of valid Entries received by Sponsor during the portion of the Entry Period preceding this drawing, as described above.

Each Prize will be sent to its winner by U.S. mail or Federal Express within ten (10) days after the Prize winner has been notified and satisfied all requirements of these Official Rules, including those related to substantiating the Prize winner’s identity and eligibility. If a Prize is returned as undeliverable, then the Prize will be forfeited and another Prize winner will be randomly drawn from among all valid Entries then available to Sponsor. There are no shipping or handling fees associated with any Prize. Prize winners must have a valid U.S. mailing address in order to receive a Prize.

6. Eligibility

This Contest is open to all legal residents of the United States of America who are twenty-one (21) years old or older at the time of entry. As applicable, owners, managers, members, partners and/or employees of the Sponsor, the Participating UGG Locations, and the immediate family members of each are not eligible. An “immediate family member” is defined to mean spouse, parent, grandparent, child, or sibling. In-laws are not considered to be immediate family members.

The Sponsor, in its sole discretion, may require any Participant and/or Prize winner to complete and sign a notarized affidavit attesting to facts relating to that person’s identity and eligibility to participate in the Contest and/or receive a Prize. If a Participant or Prize winner fails to comply with this requirement within five (5) business days of having been asked by Sponsor, Sponsor may, in its sole discretion, (i) invalidate some or all of the Participant’s Entries in the Contest, and/or (ii) rescind a Prize and re-draw a new and different recipient for that Prize from the then-existing pool of valid entries.

7. Use of Disclosed Information.

Information transmitted to the Sponsor, including without limitation the Required Participant Information, will be treated as non-confidential and non-proprietary. Except where prohibited by law, entry into the Contest constitutes permission to use each winning Participant’s name, Required Participant Information, biographical information, and/or likeness for online posting and/or any other written or photographic advertising and publicity without additional compensation. Further, by entering the Contest, the Participant is granting the Sponsor permission to use his or her contact information, including without limitation the Required Participant Information, to provide him or her with marketing or other informational materials related to the Sponsor and/or one or more of the Participating UGG Locations.

8. Meta Disclosure

Although this Contest may be advertised on the Meta pages of Sponsor, one or more Participating UGG Locations, or another, this Contest is in no way sponsored, endorsed or administered by, or associated with, Meta. Participants are providing their information to the Sponsor and not to Meta. The information a Participant provides will only be used by the Sponsor, in accordance with these Official Rules. By entering, Participants provide a complete release of Meta from any and all responsibilities implied or provided by the Sponsor and that this promotion is in no way sponsored, endorsed or administered by, or associated with, Meta.

9. Miscellaneous

(a) By entering, Participants unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final. The Sponsor reserves the right to disqualify any Participant or winning Participant who, in its sole suspicion, tampers with the entry process, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner.

(b) All federal, state, and local laws apply, and all applicable federal, state, and other taxes are the sole responsibility of the winning Participant.

(c) The Sponsor, the Participating UGG Locations, and, as applicable, the employees, officers, directors, shareholders, agents, and representatives of the Sponsor and the Participating UGG Locations are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible Entries; (ii) any condition caused by events beyond the control of the Sponsor that may cause the Contest to be disrupted or discontinued, including without limitation any disruption in the World Wide Web; (iii) any injuries, losses, or damages of any kind caused by a Prize or resulting from acceptance, possession, or use of a Prize, or from participation in the Contest; (iv) any printing or typographical errors in any materials associated with the Contest, (v) any inability to enter or otherwise participate in the Contest that any Participant or prospective Participant may experience due to the functioning or non-functioning of any mobile device, tablet, and/or other computer, or (vi) late, lost, delayed, or damaged delivery of a Prize.

(d) Participants agree that any dispute arising out of this Contest and/or these official rules shall be resolved individually without class action and exclusively by the state and federal courts located in Cook County, Illinois, under the laws of Illinois, without regard to any state’s conflict of laws principles. PARTICIPANTS FURTHER AGREE THAT (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS CONTEST, BUT IN NO EVENT ATTORNEYS’ FEES; AND (2) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN AWARDS FOR, AND PARTICIPANT HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

(e) If any provision of these Official Rules is deemed to be invalid or unenforceable, in whole or in part, such provision will be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable and these Official Rules will be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be.

(f) WAIVER OF LIABILITY AND AGREEMENT TO INDEMNIFY: By submitting any entry, each Participant, its, his, her, or their heirs, successors and assigns (the “Participant Party”) thereby releases, forever discharges, and covenants not to make a claim against or sue Sponsor and/or any Participating UGG Location, together with their parents, subsidiaries, affiliates, licensees, employees, officers, directors, representatives, successors, and assigns (the “Released Parties” or in the singular “Released Party”), of and from all manner of action or actions, cause or causes of action, at law or inequity, suits, claims, demands, liability, loss, cost, or expense, of any nature whatsoever, known or unknown, fixed or contingent, which Participant Party may have or hereafter have against any Released Party by reason of any injuries or damages Participant Party may sustain, whether to Participant Party’s person, property, reputation, or otherwise, as a result of, incident to, or related in any way to entry into the Contest, the Contest, any Prize, and/or the use, incorporation, or exploitation of the entry into the Contest for any purpose described herein. Participant Party waives and foregoes the right to seek injunctive relief against any Released Party relating in any way to the entry to entry into the Contest, the Contest, any Prize, and/or the use, incorporation, or exploitation of the entry into the Contest for any purpose described herein. Participant Party agrees to indemnify and hold harmless the Released Parties from and against any liabilities, losses, claims, demands, costs (including, without limitation, reasonable attorneys’ fees), and expenses arising in connection with any breach or alleged breach by Participant Party of any representation made in the entry to the Contest or by virtue of submitting the entry to the Contest.

(g) Sponsor and each Participating UGG Location make no warrantees or representations concerning the goods and/or services of any third party.

(h) For the name of the Winning Participants or an additional copy of the Official Rules, send a self-addressed stamped envelope request to EUREKA ENTERTAINMENT, LLC, 240 W. Laura Drive, Addison, IL 60101. The names of the Winners will be available only within 14 days after the close of the Contest, which is defined to be January 8, 2023.
